Terms of Service

Welcome to LINX Consulting LLC. By accessing our website at linxconsulting.com or using our services, you agree to be bound by these Terms of Service (“Terms”). Please read them carefully.

1. Acceptance of Terms

By accessing or using our website, services, or subscribing to our communications, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Age Restriction

You must be at least 18 years of age to use our services or to opt in to receive SMS/text messages from LINX Consulting LLC. By using our services, providing your mobile phone number, or subscribing to SMS communications, you represent and warrant that you are at least 18 years old. If you are under 18 years of age, you are not permitted to use our services or subscribe to our SMS messaging program.

3. Services

3.1 Services Provided

LINX Consulting LLC provides business consulting, advisory, and operational support to small and medium-sized businesses. Depending on the engagement, LINX services may include, without limitation:

  • Strategy and planning: business assessments and diagnostics; strategic planning; annual/quarterly planning; goal setting and OKRs; prioritization; execution roadmaps; initiative planning; resource planning; and ongoing advisory/decision support.
  • Sales, marketing, and growth: go-to-market and positioning guidance; lead generation planning; pipeline management; sales process design; sales playbooks and scripts; follow-up systems; customer journey mapping; pricing and packaging guidance; proposal and offer development; marketing performance review; and sales/team coaching.
  • Operations and execution: process mapping and redesign; workflow optimization; productivity and capacity planning; role clarity; org design and operating cadence (meetings, rhythms, scorecards); accountability systems; project/program management support; vendor and partner coordination; quality control practices; and implementation support.
  • Finance, cash flow, and performance: budgeting and forecasting; cash flow planning and monitoring; KPI design and dashboards; margin, expense, and profitability analysis; unit economics; break-even analysis; pricing profitability review; working capital (AR/AP) improvement; and financial reporting support (in coordination with your accountant/bookkeeper as applicable).
  • Leadership, people, and culture: leadership coaching; management systems; team development; communication and delegation frameworks; hiring and interview support; onboarding/offboarding processes; performance management tools; compensation structure guidance; culture and values implementation; and change management support.
  • Systems, tools, and technology enablement: technology needs assessment; CRM configuration and enablement; workflow and automation recommendations; data organization; integration planning; tool selection guidance; documentation and training for tools and processes; and ongoing optimization.
  • Documentation and training: SOPs, playbooks, templates, and checklists; internal training; workshop facilitation; meeting agendas and routines; and change adoption support.
  • Client support resources (as applicable): administrative, specialized, or expert support resources (including project coordination, marketing coordination, bookkeeping coordination, operations support, or technical support), as defined in the Service Agreement or Statement of Work (“SOW”).
  • Special projects and other support: research and benchmarking; competitive/market analysis; location or expansion analysis; due diligence support for acquisitions or partnerships; turnaround and stabilization planning; and other advisory or implementation support mutually agreed in writing.

LINX services may be provided remotely and/or in person, through meetings, workshops, facilitation, documentation, training, and hands-on implementation support.

3.2 Professional Advice Disclaimer

Unless expressly stated in the Service Agreement/SOW, LINX does not provide legal advice or licensed tax services, and nothing in our Services should be construed as such. LINX may provide financial analysis and operational guidance; however, you are responsible for consulting appropriate licensed professionals (e.g., attorney, CPA) for legal, tax, or regulated matters.

3.3 Scope and Deliverables

The specific scope, deliverables, fees, timeline, responsibilities, and any exclusions for a given engagement will be defined in a Service Agreement or SOW. Any work not expressly included in the Service Agreement/SOW is out of scope and may require a change order, revised SOW, or additional fees.

3.4 Third-Party Tools and Providers

Third-party platforms and services referenced by LINX Consulting LLC (including GoHighLevel and Sphere Rocket) are provided by independent third parties under their own terms, policies, and service levels. LINX Consulting LLC does not control and is not responsible for third-party performance, outages, pricing changes, security incidents, or service results. You are responsible for reviewing and agreeing to any third-party terms and for complying with any requirements that apply to your use of those third-party services.

3.4.1 GoHighLevel / LINX Command (White-Label Partner; Material Connection)

LINX Consulting LLC may provide access to, configuration of, and support for customer relationship management (“CRM”) and related software tools offered through the GoHighLevel platform, which may be branded as LINX Command or similar LINX-branded offerings. LINX Consulting LLC is a white-label partner of GoHighLevel and has a material connection to GoHighLevel. This means LINX Consulting LLC may receive compensation or other things of value in connection with customers who purchase, subscribe to, or use GoHighLevel services through LINX (including, for example, referral fees, revenue share, commissions, account credits, discounted services, or other benefits). Any references, recommendations, or endorsements of GoHighLevel are provided in good faith based on our experience and our view of its suitability for certain business needs; however, you should evaluate whether the platform is appropriate for your specific circumstances.

3.4.2 Sphere Rocket (Partner; Material Connection)

LINX Consulting LLC may introduce clients to, coordinate with, or facilitate the use of third-party staffing, recruiting, and virtual assistant services provided by Sphere Rocket (or its affiliates). LINX Consulting LLC has a material connection to Sphere Rocket and may receive compensation or other things of value related to referrals or client participation (including, for example, referral fees, commissions, account credits, discounted services, or other benefits). Any references, recommendations, or endorsements of Sphere Rocket are provided in good faith; however, Sphere Rocket’s services are provided and controlled by Sphere Rocket, and you should evaluate whether their services are appropriate for your needs.

4. SMS/Text Messaging Terms and Conditions

4.1 Description of SMS Use Cases

When you opt in to receive SMS/text messages from LINX Consulting LLC, you may receive the following types of messages:
  • Appointment reminders – Notifications about upcoming scheduled calls or meetings
  • Appointment confirmations – Confirmations when appointments are booked or rescheduled
  • Service updates – Updates regarding your consulting projects or account
  • Onboarding and offboarding instructions – Information to help you get started or wrap up services
  • Document and data requests – Requests for information needed to deliver services
  • Marketing and promotional messages – Special offers, newsletters, business tips, and announcements
  • Sales follow-ups – Follow-up messages related to your inquiries
  • Event and webinar invitations – Invitations to educational events

4.2 Consent

By providing your mobile phone number and checking the consent checkbox on our forms, you expressly consent to receive recurring automated SMS/text messages from LINX Consulting LLC at the phone number provided. Consent to receive SMS messages is not required as a condition of purchasing any goods or services.

4.3 Message Frequency

Message frequency varies based on your interactions and subscriptions. You may receive up to 4 messages per month.

4.4 Message and Data Rates Disclosure

Message and data rates may apply. LINX Consulting LLC does not charge for SMS messages, but your mobile carrier may charge you for each text message you send or receive. Standard message and data rates from your wireless carrier may apply to all SMS messages. Please contact your wireless service provider for details about your messaging plan and any applicable fees.

4.5 Opt-Out Instructions

You can stop receiving SMS messages at any time. To opt out of text messages from LINX Consulting LLC:
  • Reply STOP to any text message you receive from us
  • You may also text the word STOP, UNSUBSCRIBE, CANCEL, END, or QUIT
  • After sending STOP, you will receive a one-time confirmation message confirming your opt-out
  • No further SMS messages will be sent to you unless you re-subscribe
If you opt out, you may continue to receive non-marketing messages related to any active services, as permitted by law.

4.7 Carrier Liability Disclaimer

LINX Consulting LLC and all mobile carriers (including but not limited to AT&T, Verizon, T-Mobile, Sprint, U.S. Cellular, and any other wireless carriers) are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission from your wireless carrier. Carriers are not responsible for the content of messages sent. Delivery of text messages is subject to network availability and your device’s capability to receive messages. Neither LINX Consulting LLC nor any mobile carrier shall be held liable for any delays, failures, or errors in the transmission or delivery of any SMS messages.

5. User Responsibilities

You agree to:
  • Provide accurate, complete, and current information and not misrepresent your identity or authority.
  • Promptly update and notify us of changes to your contact information (including phone number reassignment).
  • Use our website and services only for lawful purposes and in compliance with applicable laws and third-party terms.
  • Obtain and maintain all required permissions/consents for any data you provide or communications you request (including email/SMS consent where applicable).
  • Cooperate in a timely manner and provide reasonable access to personnel, systems, and accounts needed to perform the services.
  • Maintain the confidentiality and security of credentials and promptly notify us of suspected unauthorized access or security incidents.
  • Not interfere with, disrupt, or attempt to bypass the security or proper functioning of our website or services (including malware, scraping, probing, or unauthorized access attempts).
  • Not copy, reverse engineer, resell, sublicense, or create derivative/competing works from LINX proprietary materials except as expressly permitted in writing.

6. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of LINX Consulting LLC or its content suppliers and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

7. Limitation of Liability

7.1 No Indirect Damages

To the fullest extent permitted by law, LINX Consulting LLC (“LINX”) shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunities, use, data, or other intangible losses, arising out of or relating to the Services or these Terms, whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if LINX has been advised of the possibility of such damages.

7.2 Cap on Direct Damages

To the fullest extent permitted by law, LINX’s total cumulative liability for any claim, dispute, or damages arising out of or relating to the Services, communications (including SMS/text messages), or these Terms shall not exceed the total fees actually paid to LINX by you for the Services giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid LINX any fees during that period, LINX’s liability shall not exceed USD $100.

7.3 Time limit to bring claims

Any claim must be brought within one (1) year of the event giving rise to the claim.

7.4 Allocation of Risk

You acknowledge and agree that the fees charged by LINX reflect the allocation of risk set forth in these Terms and that LINX would not provide the Services on the same terms without these limitations.

7.5 Third-Party Platforms and Services

Without limiting the foregoing, LINX is not liable for issues caused by third-party platforms, carriers, vendors, contractors, tools, or services, including (without limitation) outages, delays, routing errors, pricing changes, security incidents, data loss, performance failures, or policy changes by any third party (including telecom carriers and software providers).

7.6 SMS/Communications Disclaimer

LINX is not responsible for delayed, undelivered, misdirected, or blocked messages (including SMS/text messages) due to carrier filtering, network failures, device settings, spam controls, or third-party platform limitations. Communications are provided for convenience and do not create any warranty, guarantee, or service-level commitment unless expressly stated in a written Service Agreement/SOW.

7.7 Essential Purpose; Jurisdictional Limits

If any remedy is found to have failed of its essential purpose, the limitations in this Section still apply to the maximum extent permitted by law. Some jurisdictions do not allow certain limitations of liability; in such cases, liability will be limited to the maximum extent permitted by applicable law.

8. Indemnification

8.1 Your Indemnity Obligations

You agree to indemnify, defend, and hold harmless LINX Consulting LLC and its officers, directors, employees, contractors, agents, and representatives (collectively, the “LINX Parties”) from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, judgments, penalties, fines, losses, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or relating to:

  • Your access to or use of the Services, including any instructions you provide to LINX or actions you take based on LINX’s work;
  • Your violation of these Terms, any Service Agreement/SOW, or any applicable law, rule, or regulation (including marketing, privacy, consumer protection, employment, or communications laws);
  • Your content, data, systems, accounts, or materials (including any allegation that information you provide to LINX is inaccurate, unlawful, infringing, or improperly obtained);
  • Any dispute between you and a third party (including employees, contractors, customers, vendors, or regulators) related to your business operations;
  • Your use of third-party tools, platforms, or services recommended by or configured with LINX (including CRM tools, messaging services, and integrations), except to the extent caused solely by LINX’s gross negligence or willful misconduct; and
  • Any claim that your communications (including email, phone, or SMS/text messaging) were sent without proper consent, contained unlawful content, or violated third-party rights, including claims under telecom, advertising, or privacy laws.

8.2 Indemnification Process

LINX will provide you with prompt written notice of any claim for which indemnification is sought (provided that failure to give prompt notice will not relieve your obligations except to the extent you are materially prejudiced). LINX may, at its option, participate in the defense with counsel of its choosing at its own expense.

You will have the right to control the defense and settlement of the claim only if you (i) promptly assume defense, (ii) use counsel reasonably acceptable to LINX, and (iii) do not settle any claim in a way that imposes any obligation, admission, or liability on any LINX Party without LINX’s prior written consent (which will not be unreasonably withheld).

8.3 Cooperation

You agree to provide reasonable cooperation and assistance in the defense of the claim, including providing relevant documents and information, as requested.

8.4 Survival

Your indemnification obligations under this Section survive termination or expiration of these Terms and any engagement.

9. Privacy Policy

Your use of our services is governed by our Privacy Policy. Please review our Privacy Policy at https://www.linxconsulting.com/privacy-policy to understand how we collect, use, and protect your information, including your mobile phone number and SMS consent data.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page with an updated effective date. Your continued use of our services after changes constitutes acceptance of the modified Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nebraska, without regard to its conflict of law provisions.
