Welcome to LINX Consulting (“LINX,” “we,” “us,” “our”). These Terms and Conditions (“Terms”) govern your use of our website and services (collectively, the “Services”). By accessing our website or engaging our Services, you agree to these Terms.
Acceptance of Terms
By accessing or using the LINX Consulting website (linxconsulting.com) or engaging any of our consulting, support, or tool services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these Terms, please do not use our website or services.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of our services after any changes constitutes acceptance of the revised Terms.
Description of Services
LINX Consulting provides business consulting, advisory, support, and related services to help business owners improve their businesses. Our services include, but are not limited to:
- LINX Connect: Ongoing advisory and consulting services
- LINX Connect+: Advisory services combined with execution support
- LINX Leadership: Leadership development and team training programs
- LINX Performance: Comprehensive business transformation engagements
- Business Support Services: Administrative, expert, and specialized support staff
- LINX Command: Customer relationship management (CRM) tools and support
- LINX Compass: Leadership assessment and diagnostic services
The specific scope, deliverables, and terms of any engagement will be outlined in a separate Service Agreement or Statement of Work (“SOW”) between LINX Consulting and the client.
Client Responsibilities
As a client of LINX Consulting, you agree to:
- Provide accurate, complete information needed for us to perform Services
- Respond to requests for information/feedback/approval in a timely manner
- Make personnel available for meetings and collaboration
- Pay all fees and expenses per the Service Agreement/SOW
- Implement recommendations at your discretion and risk
- Keep LINX proprietary methods/materials confidential
- Comply with applicable laws and regulations
Fees and Payment
Unless otherwise specified in your Service Agreement/SOW:
- Consulting fees billed monthly in advance
- Support staff fees billed based on hours worked (typically monthly)
- Project engagements may require deposits/milestones
- Payment due within 30 days of invoice date
- Late payments may incur 1.5% interest per month (or maximum allowed by law)
- Services may be suspended for accounts more than 30 days past due
- Fees exclude applicable taxes
Intellectual Property
LINX Consulting retains all intellectual property rights in our methodologies, frameworks, tools, templates, and proprietary materials. We grant clients a limited, non-exclusive, non-transferable license to use materials provided during an engagement solely for their internal business purposes.
Any custom work product created specifically for a client during an engagement will be owned by the client upon full payment, except for any underlying LINX Consulting intellectual property incorporated therein.
Clients retain all rights to their own proprietary information, data, and materials provided to us during an engagement.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the engagement. Confidential information includes, but is not limited to:
- Business strategies, plans, and financial information
- Customer and vendor lists and information
- Proprietary processes, methodologies, and trade secrets
- Employee information and personnel matters
- Any information marked as confidential or that a reasonable person would understand to be confidential
This confidentiality obligation survives the termination of any engagement and continues for a period of three (3) years thereafter, except for trade secrets which shall be protected indefinitely.
SMS/Text Messaging Terms (LINX Consulting Messages)
If you opt in to receive SMS/text messages from LINX, the following terms apply.
- Messages may include: marketing and sales outreach; client communications; onboarding/offboarding; appointment confirmations/reminders; data gathering (forms, questionnaires, document requests); operational notices related to your relationship with LINX.
- Message frequency varies based on your interactions and service needs.
- Message and data rates may apply.
- Reply STOP at any time to opt out. You may receive one final confirmation message. To rejoin, you must opt in again through an approved method.

- Carriers are not liable for delayed or undelivered messages.
- You must be 18+ (or age of majority) to opt in.
- Consent to receive texts is not a condition of purchase.

Disclaimer of Warranties
LINX Consulting provides services on an “as is” basis. While we strive to provide high-quality advice and support, we make no warranties or guarantees regarding:
- The specific results or outcomes of our services
- The accuracy, completeness, or reliability of any advice or recommendations
- The suitability of our services for your particular needs
- The performance of any third-party services or support staff
Business outcomes depend on many factors beyond our control, including market conditions, client implementation, employee performance, and other variables. Past results do not guarantee future performance.
Limitation of Liability
To the maximum extent permitted by law, LINX Consulting’s total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client during the twelve (12) months preceding the claim.
In no event shall LINX Consulting be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, regardless of whether we were advised of the possibility of such damages.
These limitations apply to all claims, whether based on contract, tort, negligence, strict liability, or any other legal theory.
Indemnification
You agree to indemnify, defend, and hold harmless LINX Consulting, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any claim that your actions or business practices infringe upon the rights of third parties
Term and Termination
The term of any engagement will be specified in your Service Agreement. Either party may terminate an engagement:
- For convenience, with 30 days written notice (unless otherwise specified)
- Immediately, if the other party materially breaches these Terms or the Service Agreement and fails to cure such breach within 15 days of written notice
- Immediately, if the other party becomes insolvent, files for bankruptcy, or ceases business operations
Upon termination, the client shall pay for all services rendered through the termination date. Sections regarding confidentiality, intellectual property, limitation of liability, and indemnification, and SMS terms shall survive termination.
Independent Contractor
LINX Consulting is an independent contractor. Nothing in these Terms or any Service Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship between the parties. LINX Consulting personnel are not employees of the client and are not entitled to any employee benefits.
Non-Solicitation
During the term of any engagement and for twelve (12) months thereafter, neither party shall directly solicit for employment any employee of the other party who was involved in the engagement, without the prior written consent of the other party. This provision does not restrict general advertising or recruitment efforts not specifically targeted at the other party’s employees.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Nebraska, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or our services shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue mediation or binding arbitration in Douglas County, Nebraska, in accordance with the rules of the American Arbitration Association.
Each party shall bear its own costs and attorneys’ fees, unless the arbitrator determines that one party’s position was frivolous or in bad faith.
Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of government, strikes, or failures of third-party services or utilities.
Entire Agreement
These Terms, together with any Service Agreement or Statement of Work, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior agreements, understandings, and communications, whether written or oral.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
Waiver
The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by the waiving party.
Assignment
You may not assign or transfer these Terms or any rights hereunder without the prior written consent of LINX Consulting. LINX Consulting may assign these Terms to any successor in interest or affiliate without consent.
International Users
Our Privacy Policy explains how we collect/use/share personal data and provides additional disclosures for certain jurisdictions. If you access our Services from outside the United States, your data may be processed and stored in the United States and other jurisdictions where we and our service providers operate.
For users in the United Kingdom, cookie consent and certain marketing rules may apply under UK rules such as PECR.
For users in the EU/EEA, GDPR-style rights and disclosures may apply in certain cases.
